Terms of Service

These Terms of Service ('Terms') govern your access to and use of Betterly (betterly.sg) and related services (the 'Platform'), operated by SGAI.sg ('SGAI', 'we', 'us', 'our'), based in Singapore. By creating an account, browsing, listing an event, promoting an event, sponsoring, or buying a ticket, you agree to these Terms. If you do not agree, do not use the Platform.
1. Who we are and what Betterly is
Betterly is an online marketplace that connects people who organize wellness and lifestyle events ('Organizers') with people who attend them ('Attendees'), and supports affiliates and sponsors. SGAI operates the Platform and provides payment facilitation through third-party providers; SGAI is not the organizer of events listed by third parties.
'Betterly Living' may itself act as an Organizer on the Platform, in which case it does so under the same Organizer terms below.
2. Definitions
- 'Event' — an experience listed on the Platform by an Organizer.
- 'Organizer' — a user that creates and runs Events and receives payouts.
- 'Attendee' — a user that reserves or buys tickets.
- 'Affiliate' — a user that shares referral links to Events to earn a commission.
- 'Sponsor' — a brand or person that pays for a sponsor slot at an Event.
- 'Platform Fee' — the fee SGAI charges on transactions, described below.
3. Your account
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for the accuracy of your information and for keeping your login credentials secure. You are responsible for all activity under your account.
A single account may act as an Attendee, Organizer, Affiliate and/or Sponsor. We may require identity verification (including via our payment provider) before enabling payouts.
4. The marketplace and our role
Organizers are solely responsible for their Events, including descriptions, pricing, capacity, venue, safety, conduct on the day, and compliance with applicable laws and permits. SGAI provides the technology and payment facilitation but is not a party to the contract between an Attendee and an Organizer, and does not control or guarantee any Event.
We do not pre-screen all content and are not responsible for the acts or omissions of Organizers, Attendees, Affiliates or Sponsors.
5. Buying tickets and payments
Ticket prices are set by Organizers and shown in Singapore Dollars (SGD). Payments are processed by our payment provider, Stripe. By purchasing, you authorize the charge to your selected payment method. We and Stripe do not store full card numbers on our servers.
Some tickets are free ('RSVP') and require no payment. A reservation is only confirmed once payment (if any) is completed and you receive a confirmation.
6. Platform fees and payouts
Buyers pay the ticket price set by the Organizer plus a service fee shown at checkout. The service fee covers payment-processing costs and is non-refundable.
On every gathering transacted through the Platform, SGAI retains a Platform Fee of 10% of the ticket price, and a further 10% of the ticket price is allocated to Betterly Living as the host network. The Organizer receives the remainder of the ticket price (typically 80%), less any affiliate commission the Organizer chooses to offer (which is paid out of the Organizer's share). The same structure applies to sponsor-slot payments and to gatherings run by Betterly Living itself.
Organizer, affiliate, and Betterly network payouts are made via Stripe to the connected account you onboard; SGAI's Platform Fee is retained from funds processed on the Platform. You are responsible for your own taxes, including any GST obligations. Fees may change on notice as described below.
7. Organizers
By listing an Event you represent that you have the right to do so and that the Event and its content are lawful, accurate, and not misleading. You must honor confirmed tickets, run the Event substantially as described, and handle attendee concerns in good faith.
You appoint SGAI and Stripe to collect payments on your behalf and to deduct the Platform Fee and applicable charges. You set your own refund policy within the bounds of our Refund Policy and applicable law.
8. Affiliates
Affiliates may share referral links to Events that Organizers have opened to affiliates. Commission rates are set by the Organizer per Event and are paid out of the Organizer's share. You must promote honestly, must not spam, impersonate, or make false claims, and must not promote your own purchases or self-refer. We and Organizers may revoke affiliate access at any time.
9. Sponsors
Sponsors may purchase available sponsor slots at an Event. Sponsor placements are subject to the Organizer's approval and the description shown at purchase. Sponsor payments are generally non-refundable except where the Event is cancelled, subject to the Refund Policy.
10. Keeping transactions on the Platform (no circumvention)
The Platform's value — discovery, audience, payments, payouts, and tooling — depends on transactions for listed gatherings happening on the Platform. The following rules are a material part of these Terms. A 'Platform Contact' means any Attendee, Organizer, Affiliate, Sponsor, lead, or contact you discovered, were introduced to, or transacted with through the Platform, including anyone who viewed, reserved, or attended a gathering you listed.
- All tickets, RSVPs, sponsorships, and payments for a gathering listed (or previously listed) on the Platform must be transacted through the Platform. You must not arrange, solicit, encourage, or accept off-Platform payment — including cash, bank transfer, PayNow, another ticketing service, or your own page — for such a gathering in order to avoid or reduce fees.
- You must not divert, redirect, or solicit Platform Contacts to book, pay for, or attend the same or a substantially similar gathering off the Platform.
- You must not place in any listing, message, or media on the Platform an external booking link, off-Platform payment instruction, or contact details whose purpose is to take the transaction off the Platform.
- You must not use attendee or contact information obtained through the Platform to market or sell an off-Platform alternative to a Platform Contact.
- For twelve (12) months after a Platform Contact first engages with you through the Platform, you must continue to transact with that Platform Contact — for the listed gathering and any substantially similar gathering you promote to them — on the Platform. This restriction applies only to the extent permitted by applicable law.
- Affiliates must not circumvent attribution (for example, by directing referred Attendees off-Platform) to avoid the Organizer's commission or our fees; Sponsors must transact sponsor placements on the Platform.
11. Enforcement and remedies for circumvention
Circumvention as described above is a serious and material breach of these Terms. Where we reasonably believe circumvention has occurred or been attempted, we may, at our discretion and without limiting our other rights:
- suspend or terminate your account and remove your gatherings from the Platform;
- withhold, delay, reverse, or set off any payouts owed to you;
- recover from you, as a debt immediately due, the Platform Fees and Betterly network fees that would have been payable on the circumvented transactions, plus reasonable enforcement costs;
- where the exact circumvented amount cannot be determined, calculate the fees due on a reasonable estimate from available evidence (such as views-to-booking ratios, attendee reports, or comparable gatherings);
- reduce your ranking, visibility, or eligibility for features, badges, or promotional placement; and
- report suspected fraud to our payment providers and the relevant authorities.
12. Attendee data and privacy
Personal data is handled in accordance with our Privacy Policy and Singapore's Personal Data Protection Act 2012 (PDPA). Attendee information made available to an Organizer is provided strictly to deliver and administer the relevant gathering (for example, check-in and essential communications).
Organizers must not use attendee personal data for any other purpose — including marketing off-Platform alternatives or soliciting off-Platform payment — must keep it secure, must comply with the PDPA, and must delete it on request or when it is no longer needed for the gathering. Affiliates do not receive attendee personal data.
13. Refunds and cancellations
Refunds and cancellations are governed by our Refund Policy and by the policy the Organizer sets for each Event. Please review the Refund Policy at /refunds before purchasing.
14. Acceptable use
You agree not to:
- use the Platform for unlawful, fraudulent, or harmful purposes;
- list, promote, or attend events that are illegal, unsafe, hateful, or harassing;
- circumvent the Platform or its fees, or take transactions for listed gatherings off the Platform (see 'Keeping transactions on the Platform' below), or scrape, hack, or disrupt the service;
- infringe others' intellectual property or privacy; or
- misuse personal data of attendees obtained through the Platform.
15. Content and intellectual property
You retain ownership of content you submit, and grant SGAI a worldwide, non-exclusive, royalty-free licence to host, display, and promote it for the purpose of operating and marketing the Platform and your Events. The Betterly name, logo, and Platform are owned by SGAI and may not be used without permission.
16. Third-party services
The Platform relies on third parties including Stripe (payments), Supabase (data and authentication), Vercel (hosting), Mapbox (maps), Mailgun (email), and Google (sign-in). Your use of those features may be subject to their terms.
17. Disclaimers
The Platform is provided 'as is' and 'as available' without warranties of any kind, to the fullest extent permitted by law. We do not warrant that any Event will meet your expectations or that the Platform will be uninterrupted or error-free. You attend Events at your own risk.
18. Limitation of liability
To the fullest extent permitted by law, SGAI is not liable for indirect, incidental, special, or consequential losses, or for the acts or omissions of Organizers, Attendees, Affiliates or Sponsors. Our total aggregate liability arising out of or relating to the Platform will not exceed the greater of (a) the total Platform Fees you paid to us in the 3 months before the claim, or (b) SGD 100. Nothing in these Terms excludes liability that cannot be excluded under Singapore law.
19. Indemnity
You agree to indemnify SGAI against claims, losses, and expenses arising from your Events, content, use of the Platform, or breach of these Terms.
20. Suspension and termination
We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or for prolonged inactivity. You may close your account at any time; certain obligations (e.g. completed transactions, payouts, and indemnities) survive termination.
21. Severability and waiver
If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable or, failing that, severed, and the remaining provisions remain in full force. In particular, the non-circumvention provisions apply to the maximum extent permitted by applicable law. Our failure to enforce a provision is not a waiver of it.
22. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Platform or email. Continued use after changes take effect constitutes acceptance.
23. Governing law and disputes
These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
